TUCSON HISPANIC COALITION
ARTICLE I. NAME
SECTION
100. NAME
The name of the organization shall be
“THE TUCSON HISPANIC COALITION”’.
Herein after may also be known and
referred to as TUCSON HISPANIC COALITION….

ARTICLE II. PURPOSE
SECTION
200. PURPOSE
The Tucson Hispanic Coalition brings
Hispanic organizations together to share information, address and work together
on issues of common concern as agreed upon by the Coalition and to support each
other.
Due to the diversity and varied
purposes of the member organizations, coalition member organizations have the
option to include or exclude their organization from any public stance that the
coalition adopts/champions.
ARTICLE
III. MEMBERSHIP
SECTION
300. VOTING MEMBERS
All Hispanic organizations that support
the mission and purpose of the Coalition are eligible for membership upon
payment of dues as established by the Executive Committee pursuant to Section
303 (E). Each member organization in good standing shall be entitled to one
vote to conduct the business of the Coalition.

301. ASSOCIATE MEMBERS
Any person who is not a member of a
Tucson Hispanic Coalition organization may become an Associate Member upon the
completion and submission of a membership form, approved by the Executive Board
and paying the dues pursuant to Section 303(E) and shall be entitled to all the
privileges of a member except voting and serving on the Executive Board.

302. HONORARY MEMBERS
The Executive Board shall have the power to confer honorary membership to such persons
as it shall deem worthy of such
honor, and who shall have rendered outstanding service. Honorary members have no voting rights or
privileges.

303. MEMBERS’ MEETINGS
A.
Annual Meeting
The Tucson
Hispanic Coalition shall hold its annual meeting in January and its elections
meeting in November at a time and place designated by the Executive Board.
Written notice of the annual and
elections meetings shall be given to each member of record entitled to vote at
such meeting not less than ten (10) nor more than fifty (50) days before the
date of the meeting. Notice will state
the business to be conducted, the place, date and hour of the annual meeting
and the elections meeting. Members must
be present to vote.
B.
Quarterly
Meetings
The President
or the Executive Board may call quarterly meetings of the membership, provided
proper notice stating the business to be conducted is given. Proper notice
hereinafter is defined as mailing of written notification including email
neither less than ten (10) nor more that fifty (50) days before the date of the
meeting.
C.
Special
Meetings
The President
may call a Special Meeting of the membership during the year provided proper
notice is given. Special Meetings may also be called for by three (3) elected
officers of the Executive Board. Only
the business that necessitated the calling of the Special Meeting may be
conducted at this time.
D.
Quorum
Seventy five
(75) percent of the voting members present at the meetings shall constitute a
quorum. A simple majority of the voting
members present shall decide questions
brought before such meetings.
E.
Dues
Dues shall be
paid on a yearly basis as set by the Executive Board and shall include student
organization and associate member rates.
ARTICLE IV. OFFICERS
SECTION
401. DESIGNATION OF TITLES
The officers of The Tucson Hispanic
Coalition shall be PRESIDENT, PRESIDENT-ELECT, RECORDING SECRETARY, CORRESPONDING SECRETARY, TREASURER and
STANDING COMMITTEE CHAIRPERSONS.

402. DUTIES OF OFFICERS
A. President
The President
shall preside at all meetings of the membership and of the Executive Board, shall be the spokesperson for the
coalition, shall sign all deeds and conveyances, all contracts and agreements, and
all other instruments requiring execution on behalf of the Tucson Hispanic
Coalition and will perform other duties as warranted by the position.
B. President-Elect
The
President-Elect shall perform the
duties of President in his/her absence.
He/she shall oversee and serve as ex-officio member of all committees as
well as perform other duties as warranted
by the position.
C. Recording
Secretary
The Recording Secretary shall maintain
records of the procedures at all meetings; and will provide notice of all
Executive Board and membership meetings. He/She will send copies of the minutes to
all members of the Executive Board
within thirty (30) days of the close of the meeting and will perform other
duties as warranted by the position.
D. Corresponding
Secretary
The Corresponding Secretary shall ensure
timely distribution of correspondence to the Executive Board, serve as the
chairperson of the Communications Committee, and perform other duties as
warranted by the position.
E. Treasurer
The Treasurer shall serve as the fiscal and
budgetary officer of the Tucson Hispanic Coalition and present a financial
report at all meetings; serve as Chairperson of the Fundraising Committee; in
conjunction with the Executive Board, shall
prepare an Annual Budget, and perform other duties as warranted by the
position.
F. Committee
Membership
Each officer
of The Tucson Hispanic Coalition in addition to the duties outlined in Section
402 shall be a member of at least one of the standing committees described in
Section 601.
G. Term
of Office
The officers
of the Tucson Hispanic Coalition shall not serve more than two (2) consecutive
terms in office for any position. The term of office shall be for one year
commencing upon election at the annual meeting and continuing until the next
annual meeting.
H. Attendance
Officers must
attend the annual meeting, the Board meetings and seventy-five (75) percent of
all meetings during a calendar year. At
the discretion of and upon a majority vote of officers of the Tucson Hispanic
Coalition, any officer who does not attend said meetings may be removed from
office.
ARTICLE V. EXECUTIVE BOARD
SECTION
500. MEMBERSHIP
The Executive Board shall consist of the elected officers of the Tucson Hispanic
Coalition, the appointed officers, i.e. the Chairperson of each Standing
Committee and General Counsel.
SECTION
501. MEETINGS
All meetings
of the Executive Board shall be held
at a time and place designated by the Executive Board and shall be conducted in accordance with general rules of
procedures of the Tucson Hispanic Coalition.
Any Coalition member may attend Executive Board meetings.
SECTION
502. DUTIES
The Executive Board shall manage the
business affairs of The Tucson Hispanic Coalition.
SECTION 503.
QUORUM
A minimum of
seven (7) of the Executive Board members present at the meeting shall
constitute a quorum for all meetings.
ARTICLE VI. COMMITTEES
SECTION
600. APPOINTMENT
Standing Committees shall be selected
by the membership and shall perform duties as described.

601. STANDING COMMITTEES
A. AWARDS AND
RECOGNITION COMMITTEE
Shall propose
recipients of the Tucson Hispanic Coalition Awards for Outstanding
and Meritorious Service to the Hispanic Community, to the Executive Board
for consideration for recognition. The
awards will be presented at a time and a place determined by the Executive
Board.
B. BYLAWS
COMMITTEE
Shall be responsible for presenting proposed changes to the
Bylaws.
C. COMMUNICATIONS COMMITTEE
Shall be
responsible (with the direction of the Executive Board) for publicity and
dissemination of information, publication of a newsletter or website, informing
the membership of the activities and accomplishments of the Tucson Hispanic
Coalition. The Corresponding Secretary shall chair the Communications
Committee.
D. FUNDRAISING
COMMITTEE
Shall be
responsible for fundraising (Individual, corporate, sponsorship, events etc.)
activities of the Coalition as determined by the Executive Board.
E. GENERAL
COUNSEL
The General
Counsel shall be the chief legal advisor of the Tucson Hispanic Coalition and
shall review all procedures and related matters affecting the Coalition.
F. NATIONAL
HISPANIC HERITAGE MONTH COMMITTEE
Shall plan the
National Hispanic Heritage activities with the approval of Executive
Board. All elected and appointed
officers are members of this committee.
G. MEMBERSHIP
COMMITTEE
Shall conduct
membership drives, maintain a roster of all paid members, and notify the
membership of membership renewal sixty (60) days prior to expiration.
H. ELECTIONS
COMMITTEE
Shall nominate
candidates for the elective offices, prepare nominating petitions, verify the
validity of all nominating petitions, prepare and count the ballots cast at the
election held November Coalition Meeting and certify the results to the
Executive Board.
SECTION 602.
SPECIAL/AD HOC COMMITTEES
May
be appointed by the President, the Executive Committee or by a membership
majority vote. Committees will conduct
the specific task assigned at the time of appointment and will cease to
function when their specific task(s) have been completed.
ARTICLE VII. ELECTIONS
SECTION
700. QUALIFIED ELECTORS
Members as defined in Section 300 who
have met all qualifications thirty (30) days before any election shall be
entitled to vote.
SECTION 701.
NOMINATIONS
A. Nominees
Any member in
good standing, as defined in Section 300 herein, may be nominated for any of
the offices designated in ARTICLE IV.
B. By
Elections Committee
Shall propose
candidates for the elective offices that will become vacant at the next annual
meeting. The Committee shall publish and distribute to the membership the names
of the candidates and names of qualified electors thirty (30) days prior to the
November Coalition Meeting.
C. By Petition
Nominations of
officers may be made in writing by petition signed by at least ten (10) members
of the Coalition. The nominating
petition shall specify the name and address of the nominee and shall be filed
with the Elections Committee at least two (2) weeks before the November
Meeting.
D. Write in
Candidates
Space will be
provided on the official ballot for write-in candidates All write-in candidates
must qualify pursuant to Section 701 A.
SECTION
702. BALLOTS
The Elections Committee shall prepare
all ballots showing the names of the nominees by petition or by nomination of
the Elections Committee.
SECTION
703. ELECTION RESULTS
The ballots shall be counted and
tabulated by the Election Committee. The candidates receiving the greatest
number of votes shall be elected and the Election Committee shall immediately
certify the results of the election to the President.
ARTICLE VIII. AMENDMENT OF BYLAWS
The bylaws may
be amended only by a majority vote of the voting membership present at the
Annual Meeting.
Written notice
of any proposed amendment to the bylaws shall be given to the membership not less than thirty (30) days
prior to the annual meeting.

ADVISORY COUNCIL to be added as needed
SECTION 00. MEMBERSHIP
The
Tucson Hispanic Coalition may elect to create from the corporate community and
the community at large. An Advisory Council role would be to serve as an
advocate for the Tucson Hispanic Coalition. The Executive Board would determine
the size of the Advisory Council.
Membership
on the Advisory Council would not require Tucson Hispanic Coalition status. The
Executive Board would extend invitations for membership and members would be
asked to serve for a term of (two) 2 years.
SECTION 01. MEETINGS
The
Advisory Council meetings would meet a minimum of twice a year. Attendance at
the monthly Executive Board meetings would not be required
SECTION 02. DUTIES
The
Advisory Council members would be called upon to promote awareness of the
Tucson
Hispanic Coalition, actively participate in fundraising activities, provide
advice and guidance as needed, and lend voice, and support on issues of
importance to the Tucson Hispanic Coalition.
